Electronic Record and Signature Disclosure (ESIGN Act & UETA)
Effective Date: October 27, 2026 | Operator: Real Builds LLC d/b/a VendorsCert & PactIQ
Please read this Electronic Record and Signature Disclosure ("Disclosure") carefully before executing documents, submitting compliance certifications, or applying electronic signatures through VendorsCert or PactIQ. Pursuant to the federal Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA) as adopted by applicable states, this Disclosure informs you of your rights when receiving and signing records electronically.
1. Scope of Your Consent to Electronic Records & Signatures
By checking the "I Agree to Electronic Records and Signatures" box and clicking "Sign", "Submit", or "Execute" within PactIQ or VendorsCert, you affirmatively consent to:
- Receive contracts, Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), W-9 forms, compliance disclosures, and invoices in electronic format rather than paper format;
- Use electronic signatures (typed, drawn, uploaded, or click-to-sign) in lieu of handwritten wet-ink signatures; and
- Be legally bound by the terms of the executed electronic record to the same full legal extent as a physical signature on paper.
2. Tamper-Evident Cryptographic Audit Trail (SHA-256)
To ensure legal admissibility and non-repudiation for all parties, PactIQ permanently binds an Audit Certificate to every finalized PDF document, recording:
- Signer full legal name, verified email address, and role/title;
- Originating IP address and browser/device user-agent string at the moment of viewing and signing;
- Synchronized UTC timestamps for document creation, delivery, viewing, consent, and execution;
- A cryptographic SHA-256 hash of the finalized PDF document, ensuring any subsequent modification invalidates the tamper-evident seal.
3. Hardware and Software Requirements
To access, sign, and retain electronic records via PactIQ, you must have:
- A current web browser (Chrome, Safari, Firefox, or Edge) with TLS 1.2+ and JavaScript enabled;
- A valid, active email address or fax-capable endpoint to receive notifications and finalized links;
- A PDF viewer (built into modern browsers or Adobe Acrobat Reader) and sufficient local storage or a printer to save or print copies.
4. Right to Obtain Paper Copies
You may download and print a complete PDF copy of any electronically executed document and its accompanying SHA-256 Audit Certificate free of charge directly from the confirmation screen or completion email. You may also request a physical paper copy by contacting the sending organization or emailing support@vendorscert.com.
5. How to Withdraw Your Consent
You have the right to withdraw your consent to conduct transactions electronically at any time prior to completing execution of a document simply by declining to sign in the PactIQ interface or emailing support@vendorscert.com. Withdrawal of consent does not affect the legal validity or enforceability of any electronic document or signature executed prior to the effective time of your withdrawal.
6. Updating Your Contact Information
To update the email address or phone number where you receive electronic records, update your profile settings in VendorsCert or notify us at support@vendorscert.com.
